Seller Policy

About the summaries in this document: Some sections include a "Key Points (Non-Binding Summary)" or similar convenience summary. A summary is provided for convenience only, does not replace or modify the full policy, and the complete provisions shall prevail in case of any inconsistency.

To understand a Seller's core responsibilities, see "Eligibility and Seller Responsibility". To understand how verification works, see "Verification and Verified Supplier Status" and the Verification Policy. To understand what may happen if this Policy is not followed, see "Enforcement: Suspension, Restriction or Removal of Listings and Accounts". For official contact details, see "Contact Information".

1. Introduction

This Seller Policy (the "Policy") explains the responsibilities and standards that apply to Sellers using Click4Exports (the "Platform"), a technology-driven global business-to-business (B2B) marketplace and digital business discovery platform operated by Connect Aura Tech Private Limited (the "Company", "we", "us", or "our").

Click4Exports operates as a neutral technology platform and communication facilitator between businesses. It does not become a party to transactions between users and does not act as a buyer, seller, manufacturer, importer, exporter, distributor, agent, broker, logistics provider, payment intermediary, guarantor, or certification authority in connection with any transaction between a seller and a buyer. This policy explains what a seller is responsible for and how the platform's marketplace features are intended to be used, consistent with that neutral role.

This Policy is intended for Suppliers, manufacturers, exporters, traders, service providers, and other authorised business representatives (each a "Seller") using the Platform for commercial, professional, industrial, trading, or related purposes. By creating a seller profile, publishing listings, or otherwise using the platform as a seller, you acknowledge that you have read and understood this policy, and you agree to comply with it together with the terms & conditions, the applicable process available at the relevant time, and applicable laws.

Key Points (Non-Binding Summary)

Quick Summary (Non-Binding): This summary is provided for convenience only. It does not replace or modify the full policy, and the detailed provisions shall prevail in case of any inconsistency.

2. Scope and Application

This policy applies to all use of the platform by sellers, including the creation and maintenance of seller profiles and business information; the publication of product and service listings; the upload of images, documents, and other content; communication with buyers; participation in enquiries, requests for quotation (RFQs), and lead-related features; and the use of verification, membership, promotional, and other platform features made available to sellers from time to time.

This policy governs seller-specific responsibilities. It does not restate general contractual matters, which remain governed by the Terms & Conditions, and it does not replace the more specific policies that govern particular matters. In the event of any inconsistency, the Terms & Conditions govern general contractual matters, while the more specific policy governs the specific subject matter addressed by that policy. Nothing in this policy limits or excludes any rights or obligations that cannot lawfully be limited or excluded under applicable laws. The version of a policy validly incorporated into the user's agreement at the relevant time shall apply, subject to any applicable notice or transition requirements.

3. Relationship with the Terms & Conditions and Other Policies

This Policy is a Level 2 specialised policy that forms part of, and should be read together with, the Click4Exports Terms & Conditions (the "Terms"). Capitalised terms used but not defined in this Policy have the meanings given to them in the Terms.

This policy should also be read together with the Acceptable Use Policy (acceptable and prohibited conduct), the Verification Policy (verification programmes and Verified Supplier status), the Intellectual Property Policy (ownership, licensing, and infringement reporting), the Membership Terms (paid memberships and seller-facing paid features), the Refund & Cancellation Policy (fees, refunds, and cancellations), and the Privacy Policy and Cookie Policy (processing of personal data and use of cookies). Matters relating to governing law, jurisdiction, dispute resolution, limitation of liability, indemnity, and grievance redressal are addressed in the Terms and are not restated here.

4. Definitions

Unless otherwise specifically defined in this Policy, capitalised terms have the meanings given to them in the Terms, and similar terms maintain consistent meaning across all Platform documents. For convenience, in this policy, “seller” means a supplier or other business user that offers products or services, publishes listings, or otherwise participates on the platform in a selling or supplying capacity; “buyer” means a user seeking products, services, or business opportunities; “listing” means any product, service, catalogue, or offer published by a seller on the platform; and “seller content” means business information, listings, descriptions, images, documents, videos, and other content a seller uploads or makes available through the platform.

5. Eligibility and Seller Responsibility

Selling features of the Platform are intended for businesses and their authorised representatives using the Platform for lawful commercial purposes. A seller must hold a valid account, comply with the terms and applicable policies, and have the authority to act on behalf of the business it represents. A Seller is responsible for its own products, services, business credentials, representations, listings, communications, quotations, contracts, pricing, fulfilment, delivery, taxes, regulatory compliance, and transaction performance, subject to Applicable Laws and the responsibilities expressly undertaken by the Company under the Terms or applicable policies.

The Company does not manufacture, inspect, endorse, or take ownership of Seller products or services; does not set commercial terms between businesses; and does not guarantee the accuracy of any Seller's representations. Selling on the platform does not create any employment, agency, partnership, joint venture, or fiduciary relationship between a seller and the company.

6. Business Information and Profile Accuracy

A seller must provide business and profile information that is accurate, not misleading, and reasonably current and must promptly update information where a material change could make the information misleading or inaccurate. Depending on the Seller's business, this may include, where applicable, the legal or trading name, business description, contact information, and, where genuinely applicable to the Seller's business, information such as registrations, licences, manufacturing or export capabilities, and similar details.

A seller must not misrepresent its identity, authority, affiliations, or credentials and must not claim a registration, licence, award, affiliation, or status that it does not genuinely hold. A Seller is not required to provide any registration, licence, or certification that does not legally apply to its business.

7. Product and Service Listings

A seller is responsible for ensuring that its listings are accurate, lawful, and not misleading. Product and service descriptions, specifications, pricing, minimum order quantities, and availability should be presented clearly and should reasonably reflect what the Seller is able and authorised to offer at the relevant time. Where pricing, availability, specifications, or other material Listing information changes; the seller must update the relevant listing within a reasonable period.

Listings must relate to genuine products or services the seller is lawfully entitled to offer. A seller must not publish listings for products or services that are unlawful to trade, export, import, or deal in under applicable laws relevant to the parties or jurisdictions involved. Indicative prices, quotations, or specifications remain subject to confirmation in direct dealings between the businesses concerned.

8. Images, Documents and Other Uploaded Content

A seller is responsible for the images, documents, catalogues, videos, and other seller content it uploads, including their accuracy and lawfulness and the seller's right to use them. Uploaded content should genuinely represent the relevant products, services, or business and should not be manipulated in a way that misleads buyers about material characteristics.

A Seller must have the necessary ownership, licences, or permissions for all uploaded content, including images, logos, trademarks, descriptions, catalogues, documents, and videos, consistent with the Intellectual Property Policy. The Company may host, display, and technically process Seller Content in accordance with the licence described in the Terms & Conditions.

9. Legal Compliance

A Seller must comply with all Applicable Laws relevant to its business and its use of the Platform, including laws relating to trade, export, import, customs, sanctions, consumer protection, advertising, product labelling, taxation, and data protection, as applicable to the Seller. Compliance obligations depend on the Seller's business, products, services, and the jurisdictions involved, and remain the Seller's responsibility.

This Policy does not constitute legal or regulatory advice and does not identify every requirement that may apply to a particular Seller, product, service, or jurisdiction. Sellers should obtain independent professional advice where appropriate.

10. Product Safety and Regulatory Responsibility

A Seller is responsible for ensuring that the products or services it offers meet applicable safety, quality, labelling, contractual, and regulatory requirements under Applicable Laws and the terms agreed with Buyers. Where a product or service is subject to specific approvals, registrations, standards, or restrictions, the Seller is responsible for holding and complying with them.

The Company does not test, inspect, certify, or verify the safety, quality, or regulatory status of any product or service offered by a Seller, and does not act as a certification authority or inspection body. Responsibility for product safety and regulatory compliance rests with the Seller.

11. Intellectual Property Rights

A Seller must respect the intellectual property rights of the Company, other Users, and third parties, and must not upload, display, or use content that infringes another person's copyright, trademark, or other intellectual property rights. A Seller must have the rights, licences, or permissions necessary for all Seller Content, including content created or modified with the assistance of automated or AI-based tools, before making it available on the Platform. Any additional requirements applicable to AI-assisted features are governed by the applicable AI & Automated Systems Policy.

Ownership, licensing, permitted use, and the procedure for reporting alleged infringement are governed by the Intellectual Property Policy. Rights holders or their authorised representatives may report suspected infringement through the process described in that Policy; this Policy does not establish a separate infringement-reporting procedure.

12. Communication with Buyers

A Seller should communicate with Buyers professionally, honestly, and in good faith, using the Platform's communication features for genuine business purposes. A Seller must not use communication or marketplace tools to send spam, unsolicited bulk messages, harassing or abusive content, or messages inconsistent with the intended business purpose of those tools, consistent with the Acceptable Use Policy.

A Seller is responsible for the content of its own communications with Buyers, including any representations, offers, or commitments it makes. The Company does not monitor or pre-screen every communication and is not a party to communications between Users.

13. Buyer Enquiries, RFQs and Business Leads

The Platform may make available inquiries, requests for quotation (RFQs), lead-related features, and other business-discovery tools. These features are intended to support connections between businesses, where applicable and subject to operational availability. Information relating to an inquiry or lead may originate from Users or third parties and may be incomplete, inaccurate, or unverified.

The Company does not guarantee the quantity, quality, accuracy, relevance, timeliness, or availability of any inquiry, RFQ, or lead, and does not guarantee buyer intent, buyer capability, contract formation, or any commercial result. A Seller remains responsible for independently assessing any inquiry, lead, or Buyer before acting on it. Where lead-related features are provided under a paid plan, they remain subject to the Membership Terms and the applicable plan terms.

14. Prohibited and Misleading Seller Conduct

Without limiting the Acceptable Use Policy, a Seller must not engage in conduct including:

These restrictions supplement, and do not replace, the Acceptable Use Policy, which applies in full to Seller conduct.

15. Duplicate, Spam and Low-Quality Listings

A Seller must maintain genuine, relevant, reasonably complete, and non-misleading Listings and must not create duplicate or substantially duplicative Listings, or artificially inflate the number of Listings, in order to manipulate visibility, search results, or discovery features. Listings must remain consistent with the Seller's actual products or services.

The Company may, according to the applicable process available at the relevant time, review, organise, limit, or remove Listings that appear to be duplicative, spam, misleading, or of low quality, consistent with this Policy, the Acceptable Use Policy, and the Terms.

16. Off-Platform Communication and Transactions

Businesses may choose to communicate or transact outside the Platform. Where they do so, any such off-platform communication, negotiation, contract, payment, or transaction is conducted between the businesses concerned. The Company is not a party to, and does not assume responsibility for, the terms or performance of off-platform dealings between Users, except to the extent any responsibility is expressly undertaken by the Company or cannot lawfully be excluded under Applicable Laws. Platform features intended to protect or record on-platform activity may not apply to off-platform dealings.

17. Quotations, Negotiations and Commercial Agreements

Quotations, negotiations, pricing, terms, and any resulting contract are agreed directly between the Seller and the Buyer. The Seller is responsible for its own quotations, negotiations, commercial terms, and commitments, and for ensuring that they are accurate and capable of being honoured.

The Company does not negotiate, set, approve, or guarantee any commercial terms, and does not become a party to any agreement formed between a Seller and a Buyer. Any contract is formed between the businesses concerned, subject to the terms they agree and Applicable Laws.

18. Orders, Fulfilment, Delivery and After-Sales Responsibility

A Seller is responsible for order acceptance, fulfilment, packaging, shipping, delivery, product conformity, warranties, and after-sales support in respect of its own transactions, in accordance with the terms it agrees with the Buyer and Applicable Laws. Returns, replacements, or remedies between a Seller and a Buyer are a matter for the businesses concerned.

The Company does not control, handle, inspect, or guarantee fulfilment, delivery, or after-sales performance, and does not guarantee that any order will be placed, accepted, completed, or performed, except for any obligation expressly undertaken by the Company under the Terms or an applicable Service. Refunds or cancellations relating to the Company's own paid Services are separately governed by the Refund & Cancellation Policy, which does not govern transactions between Users.

19. Taxes, Invoices and Statutory Obligations

A Seller is responsible for its own tax position and statutory obligations arising from its business and its transactions with Buyers, including, where applicable, the determination, collection, reporting, and remittance of Goods and Services Tax (GST) or other applicable taxes, the issuance of invoices and records, and compliance with accounting and regulatory requirements. The Company does not provide tax, accounting, or legal advice, and does not assume a Seller's tax or statutory obligations in respect of Seller-Buyer transactions.

Taxes, invoicing, and billing relating to the Company's own paid Services are addressed in the Membership Terms and the Refund & Cancellation Policy, as applicable.

20. Verification and Verified Supplier Status

The Company may make available verification programs, including a status referred to as Verified Supplier, governed by the Verification Policy. A Verified Supplier status reflects only that the applicable verification process available at the relevant time has been completed with respect to the specific information or documents reviewed.

Verification does not guarantee authenticity, product or service quality, financial or payment capability, transaction performance, regulatory compliance, or the absence of risk, and is not an endorsement by the Company. Verification does not remove a Seller's responsibility for its own business, or a Buyer's responsibility to conduct independent due diligence. Verification status may expire, require renewal, or be suspended or withdrawn, as described in the Verification Policy.

21. Reviews, Ratings and Feedback

Where the Platform makes available reviews, ratings, or feedback features, a Seller must not manipulate, falsify, solicit in a deceptive manner, or otherwise interfere with them, and must not post or procure false or misleading reviews or ratings, consistent with the Acceptable Use Policy. Reviews, ratings, and feedback, where available, are one input among many and do not constitute an endorsement, guarantee, or verification by the Company.

22. Platform Fees, Memberships and Promotional Services

Certain Seller features may be offered as paid memberships or paid Services, according to the applicable plan available at the relevant time. Participation in such features is subject to the Membership Terms and the applicable plan terms, and refund and cancellation matters are governed by the Refund & Cancellation Policy.

Paid visibility, membership, or promotional Services may support a Seller's digital presence and marketplace participation, but do not guarantee inquiries, leads, orders, sales, revenue, or any commercial result. Commercial results depend on multiple factors outside the Company's control.

23. Buyer Data and Privacy

Where a Seller receives personal information or other information relating to a Buyer through the Platform, the Seller must handle it in accordance with Applicable Laws and only for legitimate purposes connected with the relevant inquiry, quotation, or transaction. A Seller must not misuse Buyer information, including by using it for unsolicited marketing inconsistent with Applicable Laws or by sharing it other than as permitted.

The Company's own processing of personal data is governed by the Privacy Policy, and the use of cookies and similar technologies is governed by the Cookie Policy. This Policy does not modify those documents.

24. Seller Use of Click4Exports Content and Platform Tools

A Seller may use the Platform's features and tools only for their intended business purposes and in accordance with this Policy, the Terms, and the Acceptable Use Policy. A Seller must not copy, extract, scrape, reverse engineer, or misuse the Platform, its content, or its underlying technology, except as expressly permitted, and must not use the Company's name, logos, or Marks except as permitted under the Intellectual Property Policy.

Any AI-powered or automated tools made available to Sellers are provided as assistance technologies, do not guarantee any outcome, and are additionally subject to the applicable policies, including the Intellectual Property Policy, the Acceptable Use Policy, and the applicable AI & Automated Systems Policy.

25. Enforcement: Suspension, Restriction or Removal of Listings and Accounts

Where the Company identifies, or receives a report of, conduct that appears inconsistent with this Policy, the Company may take proportionate action according to the applicable process available at the relevant time, including, illustratively and without limitation: requesting clarification or corrective information; restricting, hiding, or removing content or Listings; limiting access to a feature or tool; and restricting, suspending, or terminating an Account in accordance with the Terms & Conditions.

The Company may take urgent action without prior notice where reasonably necessary to protect Users, the Platform, security, legal compliance, or third-party rights.

The Company may apply one or more of these measures in any order or combination, and the exercise or non-exercise of discretion in one instance does not create an expectation of similar action, or inaction, in another. This Policy does not create fixed penalties, a mandatory escalation sequence, or a guarantee that any particular violation will result in a particular outcome, and it does not provide that every violation results in permanent Account termination. The detailed rules governing Account restriction, suspension, or termination remain set out in the Terms & Conditions.

26. Reporting Violations

Users may report suspected violations of this Policy using the reporting channels made available on the Platform from time to time, or the contact details under "Contact Information". Suspected prohibited conduct may also be reported as described in the Acceptable Use Policy, and suspected intellectual property infringement should be reported through the process in the Intellectual Property Policy. Submitting a report does not, by itself, guarantee any particular outcome or action.

27. Changes to this Policy

The Company may update or modify this Policy from time to time due to new Platform features, new or evolving technologies, business changes, legal or regulatory developments, security requirements, or operational improvements. Where changes are material, the Company may communicate them through reasonable notice methods, such as notification through the Platform, email to the address associated with the Account, or posting on the official website. Unless otherwise permitted or required by Applicable Laws or the Terms, material changes will apply prospectively from the stated effective date. The "Last Updated" date indicates when this Policy was most recently revised.

28. Contact Information

For general questions regarding this Seller Policy, please use the contact details below or the designated channels identified on the Platform. Matters governed by another policy should be raised through that policy: verification queries through the Verification Policy, intellectual property complaints through the Intellectual Property Policy, billing and refund matters through the Refund & Cancellation Policy, and formal complaints through the grievance redressal mechanism described in the Terms & Conditions.
