These Membership Terms & Conditions (the "Membership Terms") govern the purchase, activation, renewal, and use of Membership and related paid Membership Services made available through Click4Exports (the "Platform"), a technology-driven global business-to-business (B2B) marketplace and digital business discovery platform operated by Connect Aura Tech Private Limited, a company incorporated and operating in India with its operational presence in Delhi, India (the "Company", "we", "us", or "our").
Click4Exports operates as a neutral technology platform and communication facilitator. It provides digital infrastructure, marketplace tools, visibility-related features, and other digital services. It does not participate in commercial negotiations, set pricing between businesses, prepare contracts, process or hold transaction payments between users, control delivery or logistics, or become a party to transactions between users. A membership provides access to additional digital features, tools, and visibility-related options according to the selected plan and does not alter the company's role as a neutral intermediary.
These Membership Terms are a Level 2 specialised policy that operates under, forms part of, and must be read together with the Terms & Conditions (the "Terms"). They govern only membership-specific matters. General contractual matters continue to be governed by the Terms, as described in "Matters Governed by the Master Terms & Conditions".
These Membership Terms are intended for businesses and authorised business representatives using the Platform for commercial, professional, industrial, trading, or related purposes. By purchasing, activating, renewing, or using a membership, you acknowledge that you have read and understood these membership terms and agree to be bound by them, together with the terms and any other policies incorporated by reference.

These membership terms apply to any user who purchases, activates, renews, or uses a membership or other paid membership service on the platform. They apply in addition to, and not in place of, the terms and any other applicable policies incorporated by reference.
These membership terms govern membership-specific matters, including eligibility for membership, membership plans and tiers, the nature and scope of membership, membership benefits, membership-level fees and billing, the membership lifecycle, fair use of membership benefits, and membership status. They do not govern general contractual matters, which remain subject to the terms.
Where the company offers membership across multiple plans, tiers, regions, currencies, or business categories, these membership terms apply to all such offerings according to the applicable plan available at the relevant time, unless a specific supplementary term is expressly stated for a particular plan. In case of any conflict between a plan-specific term expressly disclosed and agreed at the time of purchase and these Membership Terms, the plan-specific term governs for that plan to the extent of the conflict, subject to the Terms and Applicable Laws.
These Membership Terms are a Level 2 specialised policy that operates under the Terms & Conditions and forms part of the legal relationship between you and the Company. Capitalised terms used but not defined in these Membership Terms have the meanings given to them in the Terms.
These membership terms should be read together with the terms and with other applicable policies, including the Privacy Policy, the Cookie Policy, the Refund & Cancellation Policy, the Verification Policy, the Acceptable Use Policy, the Intellectual Property Policy, the Advertising & Promotional Policy, and the AI & Automated Systems Policy, each as made available and applicable at the relevant time.
In the event of any conflict or inconsistency, the following order of precedence applies, subject to Applicable Laws: (a) the Terms & Conditions prevail on general contractual matters; (b) these Membership Terms prevail on membership-specific matters not specifically addressed by a more specific applicable policy; and (c) a more specific applicable policy prevails on the matters it specifically governs, including the Refund & Cancellation Policy for refund and cancellation matters, the Privacy Policy for the processing of personal data, and the Verification Policy for verification matters. Where applicable laws require a particular outcome, applicable laws prevail.
Matters such as limitation of liability, indemnity, general disclaimers, force majeure, governing law, jurisdiction, dispute resolution, and general grievance redressal are governed by the Terms and are not restated in these Membership Terms, except where a genuinely membership-specific rule is expressly stated. See "Matters Governed by the Master Terms & Conditions".
Unless otherwise specifically defined in these Membership Terms, capitalised terms have the meanings given to them in the Terms & Conditions and, where relevant, in the Refund & Cancellation Policy. Terms such as "Premium Membership", "Paid Service", "Activation", "Business User", "Account", and "Applicable Laws" carry the meanings given in those documents and are not redefined here, and similar terms maintain consistent meaning across all platform documents. Headings are provided for convenience only and do not independently determine legal meaning. Singular terms may include plural interpretations and vice versa where the context requires. For convenience, the following membership-specific terms are used in these Membership Terms:
Membership means a paid digital service that provides a member with access to additional features, tools, visibility-related options, promotional opportunities, or other membership benefits according to the selected membership plan and includes any premium membership. A membership does not guarantee enquiries, leads, orders, sales, revenue, profit, return on investment, search ranking, visibility level, buyer engagement, business growth, or export success.
Member means a Business User that has purchased, activated, or holds a Membership, together with its authorised representatives acting on its behalf.
Membership Plan means a specific membership offering made available by the Company, characterised by its price, duration, included features, and applicable conditions, as described at the time of purchase and as available at the relevant time.
‘Membership Tier’ means a level or category of membership plan that the company may offer, which may provide differing features, benefits, limits, or conditions.
‘Membership Benefit’ means any feature, tool, allocation, credit, visibility-related option, promotional opportunity, verification-related option, AI-powered feature, or other benefit made available under a Membership Plan, according to the applicable plan available at the relevant time.
‘Membership Period’ means the duration for which a membership is valid, beginning from the activation date or another date clearly specified during purchase, and continuing until expiration, cancellation under applicable terms, or suspension or termination according to applicable policies.
Membership Services means the membership and any membership benefits or related paid services made available under the applicable membership plan.
Membership is available only to Business Users and their authorised representatives using the Platform for commercial, professional, industrial, trading, or related purposes. Membership is not offered for personal, household, or consumer purposes.
To be eligible for a Membership, you must, at a minimum:
Certain Membership Plans or Membership Benefits may require completion of a verification process before Activation or before specific benefits become available. Verification is governed by the Verification Policy, and completion of a verification process indicates only that the applicable process available at the relevant time was completed. It does not constitute a guarantee of authenticity, payment capability, transaction success, future conduct, or the absence of risk, and does not remove the need for independent due diligence.
The Company may, to the extent permitted under Applicable Laws, decline, delay, condition, or limit eligibility for a Membership or particular Membership Benefits where required for compliance, verification, fraud-prevention, security, or operational reasons, or where an Account is subject to restriction, suspension, or investigation. Eligibility criteria may be introduced, modified, or updated over time to reflect new Membership Plans, verification methods, technologies, or regulatory requirements.
The Company may make Membership available through one or more Membership Plans and Membership Tiers. Membership Plans may differ in their features, Membership Benefits, allocations, limits, conditions, duration, eligibility requirements, and pricing, as described at the time of purchase and as available at the relevant time. The specific characteristics of a Membership Plan are those set out in the applicable plan description available at the relevant time, and not any general expectation formed from these Membership Terms.
Membership Plans and Membership Tiers are provided on a plan-neutral basis. These Membership Terms do not fix, and should not be read as fixing, any particular number of features, allocations, listings, or benefits, any ranking or placement position, any pricing, or any specific plan structure. Where a Membership Plan includes allocations or limits, those allocations or limits apply according to the applicable plan available at the relevant time and remain subject to fair use, operational availability, verification requirements, and Applicable Laws.
As a technology platform preparing for launch and continuing to evolve, the Company may introduce, modify, expand, replace, combine, rename, remove, or discontinue Membership Plans and Membership Tiers, and may vary the availability of Membership Plans by region, currency, language, business category, or other operational criteria, according to the applicable process available at the relevant time. Any such change generally applies prospectively, unless Applicable Laws require otherwise or the change must apply immediately for legal, security, fraud-prevention, or regulatory reasons. Where a Member holds an active Membership, the plan characteristics disclosed and agreed at the time of purchase generally continue to apply for the relevant Membership Period, subject to these Membership Terms, the applicable plan terms, and Applicable Laws.
The Company does not undertake any obligation to continue offering any particular Membership Plan, Membership Tier, pricing model, commercial model, or plan structure indefinitely, and may discontinue or vary any of them according to the applicable process available at the relevant time. This does not affect the rights applicable to an active Membership for the relevant Membership Period as described above, or any right that cannot be excluded or limited under Applicable Laws.
A Membership provides a Member with access to additional digital features, tools, visibility-related options, promotional opportunities, and other Membership Benefits according to the selected Membership Plan. A Membership represents access to the applicable digital features, tools, and benefits as defined at the time of purchase. It does not represent, and must not be understood as, any form of guaranteed commercial outcome.
A Membership confers only a limited, non-exclusive, non-transferable contractual right to access and use the applicable Membership Benefits during the relevant Membership Period, in accordance with these Membership Terms and the applicable Membership Plan. It does not confer any ownership, property, or proprietary right in the Platform, in any Membership Benefit, or in any feature, tool, or content made available through the Membership.
A Membership does not alter the Company's role as a neutral technology platform and communication facilitator. The Company does not, by reason of any Membership, become a buyer, seller, importer, exporter, agent, broker, logistics provider, payment intermediary, guarantor, certification authority, or professional adviser, and does not become a party to any transaction between Users. All commercial relationships continue to be formed directly between the businesses involved.
Membership Benefits are made available to the Member's Account for the Member's own business use in connection with the Platform. Except where expressly permitted by the Company in writing or required under Applicable Laws, Membership Benefits are not transferable, resellable, or assignable to any other person or Account, and may not be shared, redistributed, or used other than for the Member's own bona fide business use. Assignment of the underlying Account and any general contractual matters remain governed by the Terms & Conditions.
The availability, scope, and operation of any Membership Benefit remain subject to the applicable Membership Plan, feature availability, operational requirements, verification requirements, fair use, the Platform's technical architecture, future product evolution, and Applicable Laws. The Company may provide, condition, limit, or withhold particular Membership Benefits where reasonably required for these purposes, to the extent permitted under Applicable Laws.
A Membership provides access to additional Platform features and may support digital presence and marketplace participation, depending on the selected Membership Plan. It does not guarantee any commercial outcome. Without limitation, a Membership does not guarantee inquiries, buyer responses, quotations, leads, requests for quotation, conversions, orders, sales, revenue, export opportunities or export success, search ranking, category ranking, homepage or featured placement, visibility level, impressions, clicks, engagement, profile visits, business growth, search-engine optimisation performance, the performance of any AI-generated output, commercial success, return on investment, or profitability, or any similar commercial result.
Commercial results depend on multiple factors, many of which are outside the Company's direct control, including market demand, product and service quality, pricing, competition, buyer requirements, responsiveness, the accuracy and completeness of a Member's business information, the Member's own conduct and diligence, and broader economic and market conditions. Fees for a Membership are charged for access to the applicable digital features, tools, benefits, or Services as defined at the time of purchase, and not in exchange for any guaranteed commercial result.
Nothing in these Membership Terms, and no description of any Membership Benefit, should be interpreted as a promise, representation, warranty, or assurance of any commercial outcome. Nothing in this section limits any right that cannot be excluded or limited under Applicable Laws.

This section describes categories of Membership Benefits that the Company may make available under a Membership Plan. Membership Benefits are described at a category level only. The specific Membership Benefits available to a Member, and their scope, allocations, and limits, are those set out in the applicable Membership Plan available at the relevant time. Each Membership Benefit remains subject to Section 8 (No Guarantee of Commercial Results) and to the availability, operational, verification, fair-use, technical, and legal conditions described in these Membership Terms.
Membership Benefits may include, according to the applicable Membership Plan, visibility-related benefits, lead-related benefits, promotional opportunities, business profile enhancements, digital tools, AI-powered tools, analytics and reporting features, verification-related options, communication and automation features, priority or enhanced support options, additional allocations, marketing-related features, and other digital features, together with future features that the Company may make available.
The availability of any Membership Benefit is subject to the applicable Membership Plan, feature availability, operational requirements, verification requirements, fair use, the Platform's technical architecture, future product evolution, and Applicable Laws. The Company may introduce, modify, expand, replace, combine, limit, suspend, remove, or discontinue Membership Benefits and Membership features, according to the applicable process available at the relevant time. Where a change materially reduces a core benefit of an active Membership, the Company may take reasonable measures consistent with these Membership Terms, the applicable plan terms, the Refund & Cancellation Policy, and Applicable Laws. Changes generally apply prospectively, unless Applicable Laws require otherwise or a change must apply immediately for legal, security, fraud-prevention, or regulatory reasons.
Some Membership Benefits may depend upon activation, onboarding, configuration, verification, technical requirements, or other operational prerequisites, where applicable. Where such prerequisites apply, a Membership Benefit may become available only after they are met, according to the applicable process available at the relevant time.
Where a Membership Plan includes lead-related benefits, such benefits may support opportunities for business discovery and for connecting with other businesses on the Platform, where applicable and subject to operational availability. Lead-related benefits may be provided as features, allocations, or credits according to the applicable Membership Plan available at the relevant time, and remain subject to fair use, verification requirements, operational availability, and Applicable Laws.
Lead-related benefits do not guarantee the quantity, quality, accuracy, timeliness, relevance, or availability of any lead, inquiry, or business opportunity, and do not guarantee buyer intent, buyer capability, financial standing, payment, contract formation, transaction completion, or any commercial result. Information relating to a lead may originate from Users or third parties and may be incomplete, inaccurate, or unverified. Members remain solely responsible for independently verifying any business, lead, or information and for conducting their own due diligence before entering into any agreement or commercial commitment, regardless of any lead-related benefit or verification status.
Where lead-related allocations or credits are provided, they may be subject to validity periods, usage conditions, and fair-use limits, and unused allocations or credits do not carry a guarantee of value and may expire or be adjusted according to the applicable plan terms and the Refund & Cancellation Policy. Lead allocations, credits, usage entitlements, or similar allocations have no independent monetary value unless expressly stated by the Company, and this does not affect any refund right under the Refund & Cancellation Policy or under Applicable Laws.
Where a Membership Plan includes visibility-related or promotional features, such features may support a Member's digital presence and discoverability on the Platform, where applicable and subject to operational availability. These features may relate to how a Member's profile, listings, or content are presented within the Platform, according to the applicable Membership Plan available at the relevant time.
Visibility-related and promotional features do not guarantee any search ranking, category ranking, homepage or featured placement, priority listing, visibility level, impressions, clicks, traffic, engagement, conversions, or any external search-engine ranking or third-party placement. Presentation and discoverability on the Platform may depend on multiple factors, including the applicable Membership Plan, Platform configuration and technical architecture, relevance, content quality and completeness, verification status, fair use, user behaviour, business information provided, algorithmic and automated systems, and operational considerations. These factors may change over time as the Platform evolves.
The Company does not control, and does not represent that any Membership Benefit will influence, the ranking, indexing, or presentation of any content by external search engines or third-party platforms. Advertising and promotional services offered as separate paid Services are additionally governed by the Advertising & Promotional Policy.
Certain Membership Plans may include or make available verification-related options, or may make certain Membership Benefits conditional on completion of a verification process. Verification is governed by the Verification Policy, and completion of any verification process indicates only that the applicable verification process available at the relevant time was completed.
Verification does not certify or guarantee financial strength, creditworthiness, or payment capability; identity beyond the scope of the applicable verification process; the authenticity, quality, safety, or legality of any product or service; commercial reliability or future conduct; transaction safety or success; or the absence of fraud or risk. Verification status may expire or be suspended, withdrawn, or modified where required under the applicable verification processes available at the relevant time. Members must continue to conduct independent due diligence before entering into agreements or accepting commercial commitments, regardless of any verification status or verification-linked benefit.
The Company may introduce, modify, expand, replace, or discontinue verification methods and verification-linked benefits according to the applicable process available at the relevant time, consistent with the Verification Policy and Applicable Laws.
Certain Membership Plans may include or make available AI-powered tools or automated features. Such features are provided as assistance technologies and are additionally governed by the AI & Automated Systems Policy. AI-powered and automated features may assist Members, automate certain functions, support productivity, or generate suggestions, drafts, or other outputs, where applicable and subject to operational availability.
AI-powered and automated features do not replace human judgment and do not constitute legal, financial, tax, investment, regulatory, or other professional advice. The Company does not guarantee the accuracy, completeness, reliability, suitability, or availability of any AI-generated or automated output, and does not guarantee any ranking, visibility, business outcome, or commercial result arising from the use of such features. Members remain responsible for reviewing, verifying, and deciding whether to rely on any output, and for ensuring that their use of such features and the resulting content complies with Applicable Laws and with these Membership Terms and other applicable policies.
AI-generated outputs may require appropriate human review before being relied upon for commercial, contractual, regulatory, legal, or other important business purposes. Where AI-powered or automated features involve the processing of personal data, such processing is carried out in accordance with the Privacy Policy and Applicable Laws. The Company may introduce, modify, expand, replace, or discontinue AI-powered and automated features, and the technologies underlying them, according to the applicable process available at the relevant time.
Fees for a Membership are charged for access to the applicable digital features, tools, benefits, or Services as defined at the time of purchase, and not in exchange for any guaranteed commercial result. The Company may determine and modify Membership pricing, service fees, plan structures, promotional pricing, discounts, bundled Services, billing models, supported currencies, and related commercial terms. Pricing and commercial terms may change over time due to market conditions, technology investments, operational requirements, business strategy, or regulatory requirements.
The price and commercial terms displayed and agreed at the time of purchase govern that purchase. Any change to pricing or commercial terms generally applies prospectively and does not affect a Membership already purchased for its current Membership Period, unless Applicable Laws require otherwise or the change must apply immediately for legal, security, fraud-prevention, or regulatory reasons. Promotional pricing, introductory offers, discount codes, and quotations may be time-limited, may be subject to specific conditions, and may expire, and are additionally subject to the promotional terms available at the relevant time.
The Company may introduce, modify, combine, separate, bundle, unbundle, replace, or discontinue Membership Plans, commercial offerings, pricing structures, or billing arrangements, according to the applicable process available at the relevant time. Any such change generally applies prospectively, does not apply retroactively to a Membership already purchased for its current Membership Period, and does not, by itself, create any entitlement for any Member, without affecting the rights applicable to an active Membership as described in these Membership Terms or any right that cannot be excluded or limited under Applicable Laws.
Applicable taxes, including Goods and Services Tax (GST) or other legally required taxes, may be charged according to Applicable Laws, and tax treatment may vary by jurisdiction. The Company may issue invoices, receipts, or other billing records according to applicable tax and accounting requirements, and the form, content, and delivery of billing records may vary by jurisdiction and over time. Members are responsible for providing accurate, current, and complete billing information, including legal business name, billing address, and any tax-related information where applicable, and for the consequences of any inaccurate information provided.
Payments may be accepted through one or more payment methods, banking channels, or third-party payment providers made available at the relevant time, and the Company may add, modify, or discontinue supported payment methods, currencies, or billing arrangements according to the applicable process available at the relevant time. The availability, processing time, and functionality of payment systems may depend on third-party providers and banking networks, and the Company does not guarantee the uninterrupted availability of external payment infrastructure. Payment processing, taxation, invoicing, and related billing matters are otherwise governed by the Terms & Conditions, and refund and cancellation matters are governed by the Refund & Cancellation Policy.

This section describes the lifecycle of a Membership, from Activation through duration, renewal, and plan changes. Each stage remains subject to the applicable Membership Plan, operational requirements, the Terms & Conditions, the Refund & Cancellation Policy, and Applicable Laws.
A Membership may become active immediately after successful payment, after payment verification, after completion of any required onboarding, after technical validation, after manual review, or after other operational requirements are met, as applicable to the relevant Membership Plan. Activation timelines may vary depending on the nature of the purchased Membership, and Activation may be delayed where additional information, verification, technical processing, compliance review, or operational checks are required. The Company does not represent that Activation will be instantaneous.
The Membership Period and access to Membership Benefits begin on the Activation date or another date clearly specified during purchase. Certain Membership Benefits may become available only after specific activation, onboarding, configuration, verification, or technical prerequisites are met, where applicable, according to the applicable process available at the relevant time.
A Membership is valid for the Membership Period applicable to the selected Membership Plan. The duration of the Membership Period depends on the applicable Membership Plan and is that disclosed and agreed at the time of purchase. These Membership Terms do not fix any particular duration, and the Company may offer Memberships of differing durations according to the applicable Membership Plan available at the relevant time.
Once the Membership Period begins, the Membership continues until it expires at the end of the Membership Period, is cancelled under applicable terms, or is suspended or terminated in accordance with these Membership Terms, the Terms & Conditions, or other applicable policies. Expiry, suspension, and termination, and their effect on Membership Benefits, are addressed in "Membership Status". A Membership does not confer any expectation of perpetual access, and access to Membership Benefits does not continue beyond the Membership Period except where expressly stated or required under Applicable Laws.
Where renewal is available for a Membership Plan, a Membership may be renewable according to the renewal process disclosed at the relevant time. Renewal methods may include manual renewal by the Member or, where introduced in the future, an automatic renewal mechanism or another renewal process, in each case where available and where applicable. The Company does not represent that any particular renewal method will be offered for any Membership Plan.
Where an automatic renewal mechanism is introduced, it will be clearly communicated before it applies, will be subject to any consent or disclosure requirements under Applicable Laws, and will provide a means to decline or cancel renewal, in each case according to the applicable process available at the relevant time and subject to Applicable Laws. Renewal pricing, features, plan availability, and commercial terms may differ from those of the initial Membership Period, and the pricing and terms applicable to a renewal are those disclosed for the renewal at the relevant time. Renewal-related payment and refund matters remain subject to Section 10 and to the Refund & Cancellation Policy.
Renewal of a Membership does not create any obligation on the Company to continue offering identical Membership Plans, Membership features, Membership Benefits, pricing, commercial models, or billing arrangements for future Membership Periods. This does not affect any renewal right applicable at the relevant time or any right that cannot be excluded or limited under Applicable Laws.
Options to upgrade, downgrade, migrate, or otherwise change a Membership Plan may be available, where offered, subject to eligibility, applicable fees or pricing differences, operational requirements, timing or effective-date restrictions, proration or credit-adjustment rules, and the applicable plan policies available at the relevant time. The Company does not represent that any upgrade, downgrade, or plan change will be available for any Membership Plan.
Where a plan change is made, the Company may determine eligibility, any additional charges or adjustments, feature-transition arrangements, and the effective date of the change, according to the applicable plan policies available at the relevant time. The commercial and billing effects of a plan change remain subject to Section 10, and any refund, credit, or adjustment arising from a plan change is governed by the Refund & Cancellation Policy. The Company may introduce, modify, replace, or discontinue upgrade, downgrade, and plan-change options according to the applicable process available at the relevant time.
Refunds and cancellations relating to a Membership or other Membership Services are governed by the Refund & Cancellation Policy, together with the Terms & Conditions, the applicable plan terms available at the relevant time, and Applicable Laws.
Matters including refund eligibility, the refund request procedure, refund processing and timelines, cancellation rights, credits and commercial adjustments, exceptional or discretionary refunds, chargebacks and payment disputes, duplicate payments, and failed or incomplete transactions are addressed in the Refund & Cancellation Policy and are not restated here. In the event of any inconsistency regarding refund and cancellation matters, the Refund & Cancellation Policy governs those matters, subject to Applicable Laws.
Nothing contained in these Membership Terms expands, limits, modifies, or replaces the rights, obligations, procedures, or remedies contained in the Refund & Cancellation Policy, unless expressly stated in that Policy.
A request for a refund solely because a Member did not receive expected inquiries, leads, buyer responses, orders, sales, revenue, or commercial success does not, by itself, make the Member eligible for a refund. Nothing in this section limits any right that cannot be excluded or limited under Applicable Laws.
Membership Benefits are provided for the Member's own bona fide business use in connection with the Platform and must be used fairly, lawfully, and in accordance with these Membership Terms, the Terms & Conditions, and the Acceptable Use Policy. This section supplements, and does not replace, the acceptable-use requirements set out in those documents.
Without limiting the Acceptable Use Policy, Members must not use, or attempt to use, Membership Benefits in ways that involve, by way of category and example:
Fair use also means using Membership Benefits in a manner consistent with their intended purpose and with any reasonable usage, allocation, or fair-use limits applicable to the relevant Membership Plan, according to the applicable process available at the relevant time.
Where reasonably necessary, and subject to Applicable Laws, the Company may monitor, review, and investigate the use of Membership Benefits, and may limit, suspend, restrict, withhold, withdraw, adjust, or discontinue Membership Benefits, allocations, or credits, or take other action described in "Membership Status", the Terms & Conditions, the Acceptable Use Policy, the Verification Policy, and the AI & Automated Systems Policy, where it reasonably determines that use is or may be inconsistent with fair use or acceptable use. Any monitoring or investigation that involves the processing of personal data is carried out in accordance with the Privacy Policy and Applicable Laws.
Fair-use limits, usage allocations, technical restrictions, operational controls, and similar Membership conditions may differ between Membership Plans, and may be introduced, modified, expanded, reduced, or discontinued, according to the applicable process available at the relevant time.
In addition to the responsibilities that apply to all Users under the Terms & Conditions, and without restating them, a Member is responsible for the following matters arising specifically from Membership:
A Member is solely responsible for its own commercial judgment, business decisions, and independent due diligence. Regardless of any Membership Benefit, verification status, lead-related benefit, visibility feature, or AI-generated output, the Member remains responsible for independently verifying any business, buyer, supplier, lead, quotation, document, or information before entering into any agreement or accepting any commercial commitment. Membership does not reduce, replace, or discharge the Member's own due-diligence obligations, and the Company does not make commercial decisions on the Member's behalf.
A Member may use Membership Benefits to create, upload, publish, enhance, or promote User Content, including business profiles, catalogues, product and service information, logos, marketing materials, and content generated with the assistance of AI-powered features. Responsibility for such User Content, including its accuracy, ownership, required rights and permissions, business claims, and compliance with Applicable Laws, is governed by the Terms & Conditions and the applicable policies, and is not restated here. Content generated with the assistance of AI-powered or automated features is additionally subject to the AI & Automated Systems Policy.
A Membership does not transfer or grant any ownership of intellectual property. Access to and use of Membership Benefits does not confer on the Member any right, title, or interest in the Platform, its software, systems, technology, features, tools, or other intellectual property, or in any Company intellectual property, all of which remain the property of the Company or its licensors as set out in the Terms & Conditions. Any licence the Member grants to the Company in respect of User Content, and any licence the Company grants to the Member in respect of Platform materials, are governed by the Terms & Conditions and are not modified by these Membership Terms. Intellectual-property ownership, licensing, permitted use, infringement reporting, and related matters are additionally governed by the Intellectual Property Policy.
The processing of personal data in connection with a Membership and Membership Benefits is governed by the Privacy Policy, and the use of cookies and similar technologies is governed by the Cookie Policy. These matters are not restated in these Membership Terms.
Matters including the categories of personal data processed, the purposes and legal bases for processing, consent, the rights available to Data Principals, data retention, security measures, the use of processors and third parties, and any cross-border or international processing are addressed in the Privacy Policy, consistent with the Digital Personal Data Protection framework and other Applicable Laws. In the event of any inconsistency regarding the processing of personal data, the Privacy Policy governs those matters, subject to Applicable Laws.

The Company may suspend, restrict, limit, or withhold some or all Membership Benefits, allocations, or credits, or the operation of a Membership, where reasonably necessary and subject to Applicable Laws, including where required for compliance, security, fraud prevention, verification, investigation of suspected misuse or breach of these Membership Terms or applicable policies, non-payment or payment failure, protection of the Platform or other Users, or operational or legal reasons. Suspension or restriction of Membership Benefits under this section is specific to the Membership; suspension, restriction, or termination of the underlying Account is governed by the Terms & Conditions.
Where reasonable and permitted, the Company may act proportionately and, where appropriate, allow an opportunity to address the relevant issue, but may act without prior notice where reasonably necessary for legal, security, fraud-prevention, or regulatory reasons or to prevent harm. A suspension or restriction does not, by itself, entitle a Member to any refund or extension, except as provided in the Refund & Cancellation Policy or required under Applicable Laws.
A Membership may end or be terminated on any of the following grounds: expiry at the end of the Membership Period; a cancellation or termination request made by the Member in accordance with the applicable process and the Refund & Cancellation Policy; action by the Company on grounds permitted under these Membership Terms, the Terms & Conditions, or applicable policies, including material or repeated breach, misuse, fraud, or non-payment; where required under Applicable Laws or by a competent authority; or other grounds permitted under the applicable policies available at the relevant time. Termination of the underlying Account is governed by the Terms & Conditions and, where an Account is terminated, any associated Membership ends accordingly.
On expiry or termination of a Membership, the Member's access to the applicable Membership Benefits ceases, and no further or future access to those Membership Benefits continues, except where expressly stated or required under Applicable Laws. Any unused allocations, credits, or entitlements are handled according to the applicable plan terms and the Refund & Cancellation Policy, and, consistent with these Membership Terms, such allocations, credits, or entitlements have no independent monetary value unless expressly stated by the Company.
Any refund or adjustment arising on expiry or termination is governed by the Refund & Cancellation Policy. Provisions of these Membership Terms that by their nature are intended to survive, including those relating to no guarantee of commercial results, fair use, Member responsibilities and independent due diligence, intellectual property, and the matters governed by the Terms & Conditions, continue to apply after expiry or termination to the extent appropriate and permitted under Applicable Laws. Survival, retention, and related matters concerning the Account and general terms remain governed by the Terms & Conditions and the Privacy Policy.
These Membership Terms are a Level 2 specialised policy and address only membership-specific matters. General contractual matters are governed by the Terms & Conditions and are not restated or modified here, and intellectual-property matters are additionally governed by the Intellectual Property Policy.
Without limitation, the following matters remain governed by the Terms & Conditions: disclaimers and exclusion of warranties; limitation of liability; assumption of commercial risk; indemnity; force majeure; governing law; jurisdiction and dispute resolution; legal and regulatory requests; legal notices; grievance redressal and the Grievance Officer; severability, assignment, waiver, and survival of general terms; and the entire-agreement and interpretation provisions. Where a genuinely membership-specific rule is required, it is stated expressly in these Membership Terms; in all other respects, the Terms & Conditions prevail on these matters, subject to Applicable Laws.
The Company may update, modify, replace, or supplement these Membership Terms from time to time, according to the applicable process available at the relevant time, to reflect new Membership Plans, Membership Benefits, commercial or billing models, technologies, verification or AI capabilities, operational improvements, or legal, regulatory, or security requirements. Where changes are material, the Company may communicate them through reasonable notice methods, such as notification through the Platform, email to the address associated with the Account, or posting on the official website.
Material changes to these Membership Terms generally apply prospectively, unless Applicable Laws require otherwise or a change must apply immediately for legal, security, fraud-prevention, or regulatory reasons. Subject to the foregoing and to Applicable Laws, the version of these Membership Terms in effect at the time a Membership is purchased generally applies to that purchase, and the latest applicable version otherwise governs. Where required under Applicable Laws or where operationally appropriate, a Member may be asked to acknowledge or accept updated Membership Terms before continuing to access certain Membership Services. The "Last Updated" date indicates when these Membership Terms were most recently revised.
As a technology platform preparing for launch and continuing to evolve, the Company may, in the future, introduce, modify, expand, combine, separate, replace, rename, or discontinue Membership Plans, Membership Tiers, Membership Benefits, AI-powered and automated capabilities, verification capabilities, lead-related and visibility-related features, commercial models, pricing structures, billing arrangements, supported currencies, payment methods, and other digital services, technologies, or automation, according to the applicable process available at the relevant time.

Where the Member acts on behalf of a business, organisation, or other legal entity, the individual accepting these Membership Terms represents and warrants that they are authorised to bind that entity. These Membership Terms operate under and form part of the Terms & Conditions, and nothing in these Membership Terms limits any right that cannot be excluded or limited under Applicable Laws.
